By accessing or using the Sproutly mobile application, website (sproutlygreen.com), and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Sproutly Technologies Inc. ("Sproutly", "we", "us", or "our"). We may update these Terms at any time; continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to the Service, servers, or connected systems
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service without our prior written consent
• Upload content that is harmful, abusive, or infringes on the rights of others
• Impersonate any person or entity, or misrepresent your affiliation

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

3. User Accounts

To access certain features of the Service, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must provide accurate and complete information when registering
• You must promptly update your information if it changes
• You must notify us immediately of any unauthorized use of your account
• You may not share, transfer, or sell your account to another person

You may delete your account at any time through the app settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

4. AI-Powered Features

Sproutly uses artificial intelligence to provide plant identification, health diagnostics, and care recommendations. While we strive for accuracy, please understand that:

• AI recommendations are for informational purposes only and should not be relied upon as professional horticultural advice
• Diagnostic results may not be 100% accurate and should be used as guidance
• We continuously improve our AI models but cannot guarantee error-free results
• Photos you submit for diagnosis are processed in accordance with our Privacy Policy

5. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the Sproutly name and brand — are the exclusive property of Sproutly Technologies Inc. and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any photos or content you upload to the Service. By uploading content, you grant Sproutly a non-exclusive, worldwide, royalty-free license to use, process, and analyze that content solely for the purpose of providing and improving the Service.

6. Subscriptions and Payments

Some features of the Service require a paid subscription. If you purchase a subscription:

• Subscriptions auto-renew unless cancelled before the renewal date
• You can manage and cancel subscriptions through your app store (Apple App Store or Google Play)
• Refunds are handled according to the policies of the applicable app store
• We reserve the right to change subscription pricing with 30 days' notice

7. Limitation of Liability

To the maximum extent permitted by law, Sproutly Technologies Inc. and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any errors, inaccuracies, or omissions in AI-generated recommendations
• Unauthorized access to or alteration of your data
• Any third-party conduct on or related to the Service

Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service will be resolved in the competent courts of the applicable jurisdiction.
